BUSINESS REGISTRATION STRUCTURES IN INDIA
Wholly Owned Subsidiary
As a Public Limited or Private Limited Company with at least one Indian Director.
Private & Public Limited Companies
​
At least two Directors out of which one must be an Indian resident.
Partnership
​
Only NRIs/OCIs can invest in a Partnership firm in India, on a non-repatriation basis.
Limited Liability Partnership (LLP)
​
An LLP can be formed with
100% foreign investment.
Foreign nationals can be partners in an LLP. All partners will have limited liability.
Proprietorship ​
​
Only NRIs/OCIs can invest in a Proprietership in India, on a non-repatriation basis.
Liaison Office
​
A Liaison Office is the most
basic form of business presence a foreign company can have in India. To open a Liaison Office in India, permission must be obtained from the RBI.
Project Office
​
If a foreign company wishes to establish a business presence in India, for the limited
purposes of executing a
project, it may set up a
Project Office for its Indian operations.
Branch Office
If a foreign company is looking to undertake trading or
commercial activities in India, without establishing, or
investing in, an Indian company it may set up a Branch Office in India. Prior approval from the RBI is required for certain
specified activities.
